<p><span style="color: #800000;">Building on its strategy of delivering quality branded content to people around the world, The Walt Disney Company has agreed to acquire Marvel Entertainment, Inc. in a stock and cash transaction, the companies announced today.<br />

<p><span style="color: #800000;">Under the terms of the agreement and based on the closing price of Disney on August 28, 2009, Marvel shareholders would receive a total of $30 per share in cash plus approximately 0.745 Disney shares for each Marvel share they own. At closing, the amount of cash and stock will be adjusted if necessary so that the total value of the Disney stock issued as merger consideration based on its trading value at that time is not less than 40% of the total merger consideration.<br />

<p><span style="color: #800000;">Based on the closing price of Disney stock on Friday, August 28, the transaction value is $50 per Marvel share or approximately $4 billion.<br />
</span></p>
<p><span style="color: #800000;">“This transaction combines Marvel’s strong global brand and world-renowned library of characters including Iron Man, Spider-Man, X-Men, Captain America, Fantastic Four and Thor with Disney’s creative skills, unparalleled global portfolio of entertainment properties, and a business structure that maximizes the value of creative properties across multiple platforms and territories,” said Robert A. Iger, President and Chief Executive Officer of The Walt Disney Company. “Ike Perlmutter and his team have done an impressive job of nurturing these properties and have created significant value. We are pleased to bring this talent and these great assets to Disney.”<br />

<p><span style="color: #800000;">“We believe that adding Marvel to Disney’s unique portfolio of brands provides significant opportunities for long-term growth and value creation,” Iger said.<br />
</span></p>
<p><span style="color: #800000;">“Disney is the perfect home for Marvel’s fantastic library of characters given its proven ability to expand content creation and licensing businesses,” said Ike Perlmutter, Marvel’s Chief Executive Officer. “This is an unparalleled opportunity for Marvel to build upon its vibrant brand and character properties by accessing Disney’s tremendous global organization and infrastructure around the world.”<br />

<p><span style="color: #800000;">Under the deal, Disney will acquire ownership of Marvel including its more than 5,000 Marvel characters. Mr. Perlmutter will oversee the Marvel properties, and will work directly with Disney’s global lines of business to build and further integrate Marvel’s properties.<br />
</span></p>
<p><span style="color: #800000;">The Boards of Directors of Disney and Marvel have each approved the transaction, which is subject to clearance under the Hart-Scott-Rodino Antitrust Improvements Act, certain non-United States merger control regulations, effectiveness of a registration statement with respect to Disney shares issued in the transaction and other customary closing conditions. The agreement will require the approval of Marvel shareholders. Marvel was advised on the transaction by BofA Merrill Lynch.</span></p>
<p>Crazy stuff huh? Three big updates have come since the initial annoucement<strong><span style="font-size: x-small;"><span style="font-family: arial;">:</span></span></strong></p>
<p><span style="color: #800000;">In a conference call, the companies said that the deals for movies for characters at other studios (Spider-Man, X-Men, etc.) will stay in place under the terms set by Marvel and the other studios.<br />
</span></p>
<p><span style="color: #800000;">John Lasseter met with Marvel last week about a possible team-up between Marvel and Pixar and got &#8220;pretty excited, pretty fast.&#8221; They say there&#8217;s definitely an opportunity there.<br />
</span></p>
<p><span style="color: #800000;">The deal with Paramount Pictures to distribute five films&#8211;&#8221;Iron Man 2,&#8221; &#8220;Thor,&#8221; &#8220;Captain America,&#8221; &#8220;The Avengers&#8221; and &#8220;Iron Man 3&#8243;&#8211;stays in place as well, but Disney would like to self-distribute down the line. &#8220;When the time comes we&#8217;ll take a closer look at it.&#8221;</span></p>
<p>Am I the only one who thinks that a Pixar/Marvel movie would be the greatest marriage of quality, craftsmanship, and entertainment since&#8230; ever? It may turn out to be the only way to pull off an <em>Avengers</em> movie without having to half-ass the special effects. Think about it, and in the meantime, what do you think of the buyout? <p>You’ve read the reports, you’ve seen the pictures, and some lucky few of you were actually there to witness it, but we here at the site missed out on Comic-Con this year. Due to forces beyond our control we were unable to continue our annual tradition of sending writers from our site to the big industry shindig in San Diego, and it seems like it might have been one of the worst years to miss. That’s not going to stop us, at least belatedly, from rounding up all the juicy tidbits from this year’s show and providing our two cents on the upcoming 2009-2010 film season. Without further ado, lets get started…</p>
<h2><strong>Jonah Hex</strong></h2>
<p>The <em><strong>Jonah Hex</strong></em> panel at Comic-Con revealed multiple surprises. The first, that the film would be a violent and bloody affair (our money is on an R rating when all is said and done) and that the footage shown would reveal not one, but two <strong>Megan Fox </strong>sex scenes. In between the other news from around the Con, a tidbit regarding <strong>Oliver Stone</strong>’s new Wall Street movie was dropped citing Mr. <strong>Brolin</strong> himself as <strong>Javier Bardem</strong>’s replacement as the villain of the film. <h2><strong>Avatar</strong></h2>
<p>Yes everybody and their mother wanted to feast their eyes on <strong>James Cameron</strong>’s Pandora goodness at this year’s event (hell I would have considered flying out myself just to take it in) and out of the 25 odd minutes that were shown the consensus seems to be that the movie, while not as revolutionary as previously believed, will still manage to kick all kinds of ass. The surprise was that Cameron announced that August 21st will be unofficially christened “Avatar Day” as the studio plans to buy up all the Imax screen space they can to show 15 minutes of the film in Imax 3D…. FOR FREE!!!! That’s right, if you get your butt to almost any Imax screen in the country, you will be privy to a free 15 minute look at Cameron’s latest epic. How cool is that?</p>
<p>Oh yeah, and for those still wondering about the plot, here’s the official press release:</p>
<p><span style="color: #0000ff;">In the epic action adventure fantasy AVATAR, James Cameron, the director of Titanic, takes us to a spectacular new world beyond our imagination. On the distant moon Pandora, a reluctant hero embarks on a journey of redemption, discovery and unexpected love &#8212; as he leads a heroic battle to save a civilization.</span></p>
<p><span style="color: #0000ff;">The story’s protagonist, Jake Sully, is an ex-Marine who was wounded and paralyzed from the waist down in combat on Earth. In order to participate in the Avatar program, which will give him a healthy body, Jake agrees to travel to Pandora, a lush rainforest environment filled with incredible life forms – some beautiful, many terrifying. Pandora is also the home to the Na’vi, a humanoid race that lives at what we consider to be a primate level, but they are actually much more evolved than humans. Ten feet tall and blue skinned, the Na’vi live harmoniously within their unspoiled world. But as humans encroach on Pandora in search of valuable minerals, the Na’vi’s very existence is threatened – and their warrior abilities unleashed.<br />

<p><span style="color: #0000ff;">Jake has unwittingly been recruited to become part of this encroachment. Since humans are unable to breathe the air on Pandora, they have created genetically-bred human-Na’vi hybrids known as Avatars. The Avatars are living, breathing bodies in the real world, controlled by a human driver through a technology that links the driver’s mind to the Avatar body. On Pandora, through his Avatar body, Jake can be whole once again. Moreover, he falls in love with a young Na’vi woman, Neytiri, whose beauty is matched by her ferocity in battle.</span></p>
<p><span style="color: #0000ff;">As Jake slides deeper into becoming one of her clan, he finds himself caught between the military-industrial forces of Earth, and the Na’vi – forcing him to choose sides in an epic battle that will decide the fate of an entire world.<br />

<h2><strong>The Imaginarium of Doctor Parnassus</strong></h2>
<p><strong>Terry Gilliam</strong> is back. From all accounts the film rocks, <strong>Heath Ledger</strong> is marvelous, and the three actors who help Ledger to finish the role he started (<strong>Johnny Depp</strong>, <strong>Colin Farrell</strong>, and <strong>Jude Law</strong>) each apparently kick all kinds of ass. <p>Now, here’s the actual news from the panel. One <strong>Gary Oldman</strong> decided to drop this doozy of a scoop about <em>Batman 3</em>, “we start shooting early next year, you didn’t hear that from me.” Between when he left the stage and when the nearest reporter got him to elaborate on that explosive sound bite, Warnerbros. already had him back pedaling. <strong>David Goyer </strong>has also since released a statement saying that Nolan is “busy with Inception” and that any further film plans remain unconfirmed. Look for this story to continue to develop over the next few months as Inception gets closer to completion.</p>
<h2><strong>Tron Legacy</strong></h2>

<p>Besides a ridiculously cool Flynn Arcade presentation, the unveiling of the new cycle, and showing off the concept trailer from last year’s Comic-Con in 3D, the filmmakers behind <em><strong>Tron Legacy</strong></em> also debuted some new footage from the film that had Hall H roaring its approval. The concept footage has made its way online in good quality as a sort of teaser trailer for the flick, which can be seen below, and new reports reveal that <strong>Michael Sheen</strong> has been cast as the not-necessarily-human villain in the new film. Only time will tell.</p>

<p><strong>Roland Emmerich</strong>. End of the world. Again. Despite the audience fatigue surrounding disaster movies, one director has managed to produce the kind of visually destructive spectacle that was once reserved for the Statue of Liberty at the end of Planet of the Apes. Between Independence Day and The Day After Tomorrow, the earth is never safe when Emmerich steps behind the lens, and if the footage at the Con was enough to get <strong>James Cameron</strong> to geek out about it in front of a reporter, you know this one’s going to be one hell of a ride. Among the highlights,<strong> Scarlett Johanssen</strong> kicking the crap out of a load of goons, <strong>Mickey Rourke</strong> hurling his character’s trademark electrified whips through the air, and Rhodes getting the chance to try on War Machine’s armor for the first time. <p>Not many people are choosing to report on this one which I think is sad as I just wrote a whole column wondering where the finished film is. Turns out it is coming out on November 1st, the panel at Comic-Con was an absolute blast, and the trailer which was supposed to premiere to the world yesterday is on its way out for national consumption. <p>Huge fan of <strong>Edward Norton</strong> that I am, I am ashamed to admit that I’ve never gotten around to seeing the original <em><strong>Rounders</strong></em>. What makes this all the sadder is that news just broke that the original writers are working on ideas for a sequel and that all of the principle cast have shown interest in returning. &#8220;We&#8217;ve been concentrating on <em><strong>Rounders 2</strong></em> lately,&#8221; co-writer <strong>David Levien</strong> told <em>Pokerlistings.com</em>. &#8220;Ideas are percolating. It&#8217;s great to know that all of the original players want to come back and do another one.&#8221; &#8220;Everybody would probably come back,&#8221; <strong>Damon</strong> himself speculates. &#8220;The actors all had a really good time working together.&#8221;</p>

			<content:encoded><![CDATA[<p>Sure, <strong>Robert Zemeckis</strong> probably won&#8217;t make another live-action movie anytime soon. <em>Beowulf</em> had some stuff going for it, namely <strong>Ray Winstone&#8217;</strong>s passionate attempt to emote through piles of pixelated creepiness. Yes, I will admit that the creepiness would probably help<strong> Jim Carrey</strong>&#8217;s Scrooge more than hurt in this case. Should you be excited for this next iteration of <strong><em>A Christmas Carol</em></strong>? I&#8217;d wait until the trailer to find out for sure. The poster does seem to suggest that they&#8217;ve given up on the photo-realism idea for now (at least until <em>Avatar</em>) and have gone for a more stylized aesthetic. This will only help their cause in the long run. It&#8217;ll make a ton of money, it&#8217;ll probably be cool in Imax 3D, and they&#8217;ll probably be re-releasing it from now until the end of time like <strong>Robert Zemeckis</strong>&#8217;s first CGI attempt, <em>The Polar Express</em>. For those still bothering to read this, the poster is below. Look for this one around the beginning of the holiday season.</p>

<p>I gotta say, I&#8217;m really torn by this movie. On the one hand, <em>The DaVinci Code</em> was a huge disappointment and Tom Hanks&#8217; hair pretty much prevents me from replaying it on DVD to see if multiple viewings could somehow improve it. On the other hand, I really loved <strong><em>Angels and Demons</em></strong> as a book and the fact that they were able to re-create the Vatican despite papal permission puts a smile on my face. Tom Hanks cutting his hair certainly helps, and even though most of the trailers and TV Spots thus far have been of the lackluster variety, the clips have been generally solid and the full sequences have a lot of weight and momentum to them. 			<content:encoded><![CDATA[<p>I had heard a few rumblings about Sam Rockwell&#8217;s independent film <strong><em>Moon</em></strong>, directed by Duncan Jones, a couple of months back. The buzz was all positive, and the film has been eating up on the festival circuit. No word on whether or not the film will get a wide release, Sony Pictures Classics bought distribution, but look for this one at the art house cinemas in your neck of the woods. People living in NYC will have an easier time, it&#8217;s premiering in a week or two at Tribeca, so it&#8217;s definitely worth checking out. The story revolves around a miner on the moon who&#8217;s responsible for producing ore desposits that will help the earth function on clean energy. It&#8217;s a one man crew, and he&#8217;s on a 3 year contract. He&#8217;s only got two weeks to go when he starts to see things&#8230; things which shouldn&#8217;t be there&#8230; and supposedly all hell breaks loose at that point. Another fun fact, the film&#8217;s director is the son of David Bowie. Learn something new every day. Check out the trailer and poster below:</p>
